Terms of service

Last updated: 1 September 2026

These terms apply to services provided by Wyzen Digital LLC, a limited liability company registered in the State of Wyoming, United States, to a client. Where a signed scope document or agreement says something different, that document takes precedence.

Services

We provide creator management and digital marketing services: social media management, content production, audience growth and reporting. The exact deliverables, volumes and cadence are set out in the scope document agreed before work begins.

Relationship of the parties and flow of funds

We are engaged by the company through which the client operates. That company collects its own revenue directly, through the channels and payment processors it works with. Wyzen Digital LLC invoices its own fees to the client company and does not receive, hold, pool or redistribute revenue on behalf of the client or of any third party, and does not act as a payment agent.

Fees and payment

Fees are agreed in writing before work begins and take the form of a monthly fee, a share of attributed revenue, or a combination of both. Invoices are issued by Wyzen Digital LLC and payable within seven days, in USD or EUR, by bank transfer or card. Paid media budgets are separate from our fees and are either funded by the client directly or invoiced at cost. Late payment may lead to work being paused after written notice.

Term and termination

Engagements run for an initial three months and continue on a rolling basis, terminable by either party on thirty days' written notice. Either party may terminate immediately for material breach that is not remedied within fifteen days of notice. Fees for work already performed remain payable.

Client responsibilities

The client provides timely access to accounts, source material and approvals, and confirms it holds the rights to any material it supplies. The client remains responsible for what is published on its own accounts.

Intellectual property

On payment of the relevant invoice, ownership of the final deliverables produced for the client passes to the client. We keep ownership of our own methods, templates and internal tools. We may describe the work in general terms for our own credentials only with the client's consent.

Confidentiality

Each party keeps the other's non-public information confidential during the engagement and for three years afterwards, except where disclosure is required by law.

Platform rules and acceptable use

Both parties comply with the terms of the platforms used. We do not purchase followers or engagement, operate automated engagement networks, or produce misleading claims. We do not work in gambling, pharmaceuticals, financial advice or any illegal category, and we may terminate immediately if a client's activity falls into one of these.

No guarantee of results

Marketing outcomes depend on factors outside our control, including platform algorithms and the client's own product. We commit to the agreed deliverables and standard of care, not to a specific audience or revenue result.

Liability

Neither party is liable for indirect or consequential loss, including lost profits. Our total liability under an engagement is limited to the fees paid by the client in the three months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

Independent contractor

We act as an independent contractor. Nothing in these terms creates an employment relationship, partnership or joint venture.

Governing law

These terms are governed by the laws of the State of Wyoming, United States. Disputes are subject to the exclusive jurisdiction of the courts of that state, unless the parties agree otherwise in writing.
